Terms of Service

1. Acceptance of Terms

By accessing or using the website, hosting, domain registration, software development, or any other service provided by ZIPROF Technologies LTD ("ZIPROF Technologies", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

ZIPROF Technologies provides web design and development, domain registration, web and email hosting, custom software development, mobile application development, and business automation services. The specific scope, deliverables, and timelines for any engagement will be agreed with the client in writing before work begins.

3. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and any content or materials required to complete a project. Delays caused by incomplete or late client input may affect agreed timelines. Clients are also responsible for maintaining the confidentiality of any account credentials issued to them.

4. Acceptable Use Policy

You may not use our hosting, domain, email, or other services to send spam or unsolicited bulk email, distribute malware, host phishing content, infringe intellectual property rights, or engage in any illegal activity. We reserve the right to suspend or terminate any account used in violation of this policy, with or without notice depending on severity.

5. Payment Terms

Fees for services are quoted and agreed prior to commencement of work. Unless otherwise agreed in writing, projects require an upfront deposit before work begins, with the balance due on completion or as specified in the project agreement. Hosting, domain, and other recurring services are billed on the agreed billing cycle and may be suspended if payment is not received by the due date.

6. Refunds & Cancellations

Project deposits are non-refundable once work has commenced, as they secure our time and resources for your engagement. Domain registrations, transfers, and renewals are non-refundable once processed, as these costs are paid to third-party registries. Hosting and other recurring services may be cancelled at any time effective at the end of the current billing cycle; we do not provide partial refunds for unused time within a billing cycle unless required by law.

7. Domain Registration, Renewal & Deletion

We send renewal invoices at least 30 days before a domain's expiry date. You are responsible for ensuring payment is received before that expiry date. If a domain is not renewed in time, it enters a 15-day grace period during which it can still be renewed at the normal rate, followed by a 30-day redemption period during which it can only be recovered at a higher restoration fee. If the domain remains unrenewed after both periods lapse, it is deleted and released for registration by any third party, with no further recovery option and no liability to ZIPROF Technologies for that loss.

8. Hosting Account Suspension & Data Retention

Hosting accounts with unresolved non-payment, or that you have asked us to cancel, are retained in an inactive state for 30 days, during which you may settle any outstanding balance or export your data. After 30 days, the account, its data, and all backups are permanently deleted and cannot be recovered. You are responsible for keeping your own independent backups of any critical data.

9. Intellectual Property

Upon full payment, clients receive ownership of the final deliverables created specifically for them, excluding any third-party software, licensed assets, or ZIPROF Technologies' own pre-existing tools, frameworks, and code libraries, which remain our property and are licensed for the client's use as part of the delivered solution.

10. Service Availability

We work to keep our hosting and other services reliably available but do not guarantee uninterrupted or error-free operation, and any specific uptime commitment applies only where agreed separately in writing with a client.

11. Limitation of Liability

ZIPROF Technologies will make reasonable efforts to deliver services that are accurate, secure, and reliable, but we do not guarantee that any service will be uninterrupted or error-free. To the fullest extent permitted by law, ZIPROF Technologies shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.

12. Indemnification

You agree to indemnify and hold ZIPROF Technologies harmless from any claims, losses, or damages arising from (a) your failure to renew a domain or settle hosting fees by the deadlines and notice periods described above, (b) content or data you submit, host, or transmit through our services, and (c) your breach of these Terms, provided ZIPROF Technologies met its own notice obligations under sections 7 and 8 above.

13. Termination

Either party may terminate an ongoing engagement in accordance with the terms agreed in the relevant project or service contract. ZIPROF Technologies reserves the right to suspend or terminate access to hosting, domain, or other services in cases of non-payment, misuse, or breach of these terms.

14. Force Majeure

ZIPROF Technologies is not liable for any delay or failure to perform its obligations resulting from causes beyond our reasonable control, including natural disasters, internet or power outages, government action, or failures of third-party infrastructure providers.

15. Third-Party Links

Our website and services may link to third-party websites or tools we do not control. We are not responsible for the content, policies, or practices of any third-party site.

16. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Kenya. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Kenya.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our practices or for legal reasons. Any updates will be posted on this page with a revised "Last updated" date.
